Eligibility and Participation
These Promotional Terms & Conditions (“Terms”) apply to all promotional campaigns, including but not limited to discount coupons, promotional codes, vouchers, free gifts, product samples, loyalty and rewards programs, auto-ship or subscription discounts, free shipping offers, and cashback or rebate offers (“Promotions”) organized by Farmina Pet Foods Holding B.V. and/or its subsidiaries, affiliates, authorised distributors, and retail partners (“Farmina”). By participating in any Promotion, participants confirm their unconditional acceptance of these Terms and any supplementary terms published in the relevant campaign materials.
Participation is open only to natural  people aged eighteen (18) years or older at the time of participation. Farmina reserves the right to request government-issued identification to verify eligibility at any stage. Participants who fail verification, or who are found to be minors, will be disqualified without notice and any benefits already redeemed may be reclaimed. Employees, officers, and directors of Farmina and its affiliated companies, as well as members of their immediate households, may be excluded from specific Promotions at Farmina’s discretion.

Promotional Codes, Coupons, and Vouchers
Promotional codes, coupons, and vouchers (collectively, “Codes”) are issued subject to the specific terms stated on the Code itself or in the accompanying campaign materials. Unless otherwise expressly stated: (a) each Code is valid for a single use and a single transaction only; (b) Codes are non-transferable, may not be sold, exchanged, bartered, or published on unauthorized third-party websites, and carry no cash surrender value; (c) Codes must be redeemed before the stated expiry date, after which they become void automatically and without notice; and (d) Codes may not be combined or “stacked” with other promotional offers, discount codes, subscription discounts, or loyalty rewards unless expressly permitted in writing by Farmina.
Farmina reserves the right to limit the number of Codes issued per person, per household, per e-mail address, or per transaction. Codes distributed through Farmina’s authorized influencer, affiliate, or key opinion leader (“KOL”) partners are valid only when obtained directly through the designated distribution channel; Codes obtained through scraping, unauthorized aggregation, or any other unofficial means may be voided without notice. Any attempt to redeem counterfeit, altered, expired, or duplicated Codes will result in immediate disqualification and may be referred to the relevant authorities.

Free Gifts, Product Samples, and Loyalty Rewards
Where a Promotion includes a free gift, bonus item, or product sample, the specific item provided is subject to availability. Farmina reserves the right to substitute a gift or sample with an alternative of equal or greater value without prior notice. Free gifts and samples are provided on an “as-is” basis and are non-exchangeable, non-refundable, and carry no cash value.
Loyalty and rewards programs, including but not limited to the Farmina Genius Rewards program, are subject to the specific rules published in the program materials and in the applicable mobile application. Where a program requires the collection of unique package codes, product purchases within designated weight categories, or the use of a Farmina mobile application, participants must comply with all stated requirements. Rewards earned through such programs are personal to the participant, non-transferable, and may not be exchanged for cash. Farmina reserves the right to modify, suspend, or discontinue any loyalty program, adjust earning thresholds, or alter reward values at any time upon reasonable notice.
Free gifts, product samples, and loyalty rewards are limited to one per person or per household unless otherwise stated. Farmina shall not be liable for any loss, damage, or personal injury arising from the use or consumption of any free gift, sample, or reward item, except where such liability cannot be excluded under applicable law.

Subscription and Auto-Ship Discounts
Farmina may offer discounted pricing on qualifying products purchased through recurring subscription or auto-ship arrangements. Subscription discounts apply only for as long as the subscription remains active and in good standing. Farmina reserves the right to adjust subscription pricing, product availability, delivery intervals, and discount rates at any time upon prior notice to the subscriber. Any introductory or first-order discounts are limited to one per person, per household, and per payment method, and apply exclusively to the initial qualifying order.
Cancellation of a subscription is subject to the terms stated in the subscription agreement and the relevant platform’s policies. Where a participant cancels a subscription within a promotional lock-in period (if applicable), Farmina reserves the right to recalculate the price of previously delivered orders at the non-discounted rate and recover any difference. Subscription discounts may not be combined with other Codes or Promotions unless expressly permitted.

Cashback and Rebate Offers
To qualify for a cashback or rebate offer, participants must comply with all conditions specified in the relevant campaign materials, including but not limited to minimum purchase requirements, designated products, qualifying retail channels, and submission of valid proof of purchase. Proof of purchase must be original and unaltered; digital copies or screenshots may be accepted only where expressly permitted.
Cashback and rebate payments will be processed within the timeframe stated in the campaign materials, or, where no timeframe is stated, within sixty (60) calendar days of validation of a qualifying claim. Payments will be made via the method specified in the campaign materials (e.g., bank transfer, digital wallet, or store credit). Farmina is not responsible for delays caused by incomplete or incorrect participant information, banking errors, or circumstances beyond its reasonable control.

Free Shipping Offers
Where Farmina offers free or discounted shipping as part of a Promotion, such offers are subject to minimum order value thresholds, geographic restrictions, and carrier availability as stated in the campaign materials. Free shipping applies only to standard delivery within the specified service area; expedited, express, or international shipping options remain at the participant’s expense unless stated otherwise. Farmina reserves the right to modify or withdraw free shipping offers at any time and to exclude specific regions, territories, or product categories.

Redemption, Use, and Non-Combinability
All Promotions are valid only at participating retail locations, authorized online platforms, or distribution channels as specified in the relevant campaign materials. Promotions apply exclusively to Farmina-branded products unless stated otherwise. Except where expressly permitted in the applicable campaign materials, Promotions may not be combined with one another, nor with any third-party offer, membership discount, or negotiated trade pricing. In the event of conflict between these Terms and any campaign-specific terms, the campaign-specific terms shall prevail to the extent of the inconsistency.
Promotional benefits are intended for personal, non-commercial use by end consumers. Any participant found to be engaging in systematic, bulk, or commercial exploitation of a Promotion, including but not limited to resale, arbitrage, or distribution through unauthorized channels, may be disqualified, and any benefits obtained may be reclaimed or reversed at Farmina’s sole discretion.
Farmina reserves the right to modify, suspend, or terminate any Promotion at any time, with or without prior notice, where circumstances beyond its reasonable control so require, including but not limited to technical failures, fraud, supply chain disruptions, or force majeure events. In such cases, Farmina shall have no obligation to compensate participants for any unredeemed or prospective benefits.

Fraud Prevention and Abuse
Farmina reserves the right to investigate and take appropriate action against any participant suspected of fraudulent activity, abuse, or manipulation of a Promotion. This includes, but is not limited to, the creation of multiple accounts, use of automated tools, bots, or scripts, submission of falsified proof of purchase, use of stolen payment methods, exploitation of pricing or system errors, or any conduct intended to circumvent the intended terms of a Promotion.
Where fraud or abuse is established to Farmina’s reasonable satisfaction, Farmina may, at its sole discretion and without prior notice: (a) void any promotional benefits; (b) recover amounts paid or credits issued; (c) suspend or permanently terminate the participant’s account and access to future Promotions; (d) offset any amounts owed against future orders; and (e) refer the matter to the relevant authorities and pursue civil or criminal remedies where appropriate.

Intellectual Property
All trademarks, logos, trade names, trade dress, product names, packaging designs, promotional materials, and other intellectual property used in connection with any Promotion are and shall remain the exclusive property of Farmina Pet Foods Holding B.V. and/or its licensors. Nothing in these Terms or in any Promotion grants the participant any right, title, license, or interest in Farmina’s intellectual property. Participants may not reproduce, distribute, modify, or create derivative works from any Farmina promotional materials without Farmina’s prior written consent.

Limitation of Liability
To the fullest extent permitted by applicable law, Farmina, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, and authorised partners shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from or in connection with participation in any Promotion, including but not limited to loss of data, loss of profit, loss of opportunity, or any technical malfunction, system failure, or interruption of service.
Without prejudice to the foregoing, Farmina’s total aggregate liability in respect of any Promotion shall in no event exceed the face value of the promotional benefit in question. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Dutch law or mandatory provisions of applicable consumer protection legislation.

Indemnification
Each participant agrees to indemnify, defend, and hold harmless Farmina, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the participant’s breach of these Terms; (b) the participant’s fraudulent, negligent, or unlawful conduct in relation to a Promotion; or (c) any third-party claim resulting from the participant’s misuse of a promotional benefit.

Privacy and Data Protection
Personal data collected in connection with a Promotion will be processed in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation) and/or applicable data protection legislation. Farmina acts as the data controller. Personal data will be processed for the purposes of campaign administration, eligibility verification, benefit fulfilment, fraud prevention and detection, legal compliance, and, where separate consent has been obtained, direct marketing communications.
Participants may exercise their rights under applicable data protection law, including the right to access, rectify, erase, restrict processing of, port, or object to the processing of their personal data, by contacting Farmina’s customer support or Data Protection Officer . Requests will be handled in accordance with applicable legal timeframes. For further details on data processing activities, retention periods, and international transfers, participants are referred to Farmina’s Privacy Policy available on Farmina’s official website.

Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed or modified to the minimum extent necessary to render it valid and enforceable, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial intent of the parties.

Waiver
No failure or delay by Farmina in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any further exercise of that or any other right. Farmina’s rights and remedies under these Terms are cumulative and are in addition to any rights or remedies available at law or in equity.

Entire Agreement
These Terms, together with any campaign-specific terms and conditions published in the relevant promotional materials, constitute the entire agreement between the participant and Farmina with respect to the relevant Promotion and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating thereto. In the event of any conflict between these Terms and campaign-specific terms, the campaign-specific terms shall prevail to the extent of the inconsistency.

Modifications and Termination
Farmina reserves the right to amend, supplement, or replace these Terms at any time. Material changes will be communicated through Farmina’s official channels, including but not limited to the Farmina website, mobile applications, and social media accounts. Continued participation in a Promotion following publication of amended Terms constitutes acceptance of those amendments. Where an amendment materially and adversely affects a participant’s accrued rights under an ongoing Promotion, Farmina will use reasonable efforts to honor existing commitments to the extent practicable.

Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with these Terms or any Promotion shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands. Notwithstanding the foregoing, nothing in this clause shall prevent Farmina from seeking interim, injunctive, or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
In the event of a consumer dispute, participants resident in the European Union may also make use of the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Farmina encourages participants to first contact Farmina’s customer support to seek an amicable resolution before commencing formal proceedings.
